Welcome to StudioLear (the “App” / “Platform”), a product owned and operated by Kivarolabs Integrated Technologies Pvt. Ltd. (“Kivarolabs,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our services, applications, and related platforms (collectively, the “Service”).

By installing, registering, or using StudioLear, you (“User,” “Studio,” “Client,” or “Studio Team”) agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

This document is structured and worded to comply with:

  • India’s DPDP Act 2025 + IT Act 2000
  • UK GDPR + Data Protection Act 2018
  • California Consumer Privacy Act (CCPA) and applicable U.S. federal and state laws
  • UAE Federal Decree Law No. 45 of 2021

and global SaaS standards for subscription services, cloud data handling, and cross-border processing.

1. Eligibility

  • You confirm that:
  • You are at least 18 years old and legally capable of entering into a binding agreement.
  • If you are representing a studio or business, you are authorized to act on its behalf.
  • You will comply with all applicable local and international laws when using the Service.
  • If you are a client using the platform directly (without a studio), you are contracting with Kivarolabs directly for the use of the Service.

2. Service Overview

  • StudioLear is a professional event and photography management platform designed for:
    • Studios & Photographers – to manage media, events, client galleries, quotations, and invitations.
    • Clients – to create or manage their own events directly, upload or receive media, select photos for albums, generate invitations, and use AI-based features.
    • Guests – to interact with features like Guest Photo Finder via secure QR code.
  • Key functions include: Media and album organization , Quotation and digital invitation preparation, AI-powered guest photo matching, Secure cloud hosting and delivery, and Subscription-based access for studios and clients .
  • We may modify, update, or enhance the Service periodically without prior notice to improve security, functionality, and performance.

3. Account Registration & Security

  • Studios and Clients must register with accurate, complete, and up-to-date information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • All activities under your account are your responsibility.
  • Kivarolabs is not liable for unauthorized access resulting from your negligence or sharing of credentials.

4. Cloud Storage & Data Handling

  • We use Amazon Web Services (AWS) and Cloudflare to store and process data securely.
  • Data may be stored or transferred to data centers located in India, the UK, the USA, the UAE, or other regions where these providers operate.
  • Data is not stored in encrypted form by default; users should maintain their own secure backups.
  • By using the Service, you consent to this storage and cross-border data processing.

5. Local Storage Access

  • The App may request access to local folders, external drives, or files to upload, sort, or temporarily store content.
  • The App does not scan or transfer local data automatically.
  • You can revoke permissions at any time, but some features may not function without them.

6. Data We Collect

We collect and process:

  • Studio Data: Name, business information, contact details, branding, payment data.
  • Client Data (Direct or via studios): Name, contact details, event information, media uploaded or received, account credentials.
  • Media Content: Photos, videos, and related metadata for event and album functions.
  • Payment & Billing Data: Processed via Razorpay; we do not store full card details.
  • Cookies & Technical Data: First-party cookies only for functionality and security.
  • When studios upload client or guest data, they are responsible for obtaining all necessary consents.
  • When clients use StudioLear directly, we act as the data controller and obtain necessary consents at the point of collection.

7. AI Photo Finder & Consent

  • The Guest Photo Finder allows event guests to upload selfies via QR codes.
  • The system matches these selfies with event photos to help guests find images of themselves.
  • Studios and clients must ensure that guests are informed and consent to this feature.
  • If used by clients directly, consent is collected during the selfie upload process via a clear notice.
  • The feature may not be used for surveillance, profiling, or illegal activities.
  • Kivarolabs is not responsible for misuse of guest data by studios, clients, or third parties.

8. Payment & Subscription

  • The platform operates on a subscription model.
  • Studios and clients may subscribe annually.
  • Payments are processed securely through Razorpay, and are subject to Razorpay’s terms and privacy policies.
  • Subscription fees are generally non-refundable except as required by law.
  • Non-renewal may lead to data deletion after a grace period.

9. Ownership of Content

  • You retain ownership of all content you upload.
  • By uploading, you grant us a limited, non-exclusive license to store, process, and display the content for the purpose of providing the Service.
  • We will not use your content for marketing without explicit permission.

10. Acceptable Use Policy

You agree not to:

  • Upload or share unlawful, defamatory, infringing, or abusive material.
  • Upload malware or attempt to disrupt the platform.
  • Reverse-engineer, distribute, or resell the software.
  • Misuse the platform for biometric surveillance, discrimination, or unauthorized data processing.
  • Violations may result in suspension or termination of your account.

11. International Data Transfers

Data may be transferred internationally to regions where AWS and Cloudflare operate.
We use Standard Contractual Clauses and other legal mechanisms to comply with GDPR, CCPA, and UAE PDPL requirements.
By using the Service, you consent to these transfers.

12. Privacy & Data Protection

We comply with:

  • India – DPDP Act 2025 & IT Act 2000
  • UK – GDPR & Data Protection Act 2018
  • US – CCPA and relevant state/federal laws
  • UAE – Federal Decree Law No. 45 of 2021

13. Service Availability

  • We aim for continuous availability but do not guarantee uninterrupted access.
  • Maintenance or third-party service issues may cause temporary outages.
  • Kivarolabs is not liable for loss or interruptions beyond reasonable control.

14. Limitation of Liability

To the maximum extent permitted by law:

  • StudioLear is provided “as is” without warranties.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability is capped at the subscription fees paid in the 12 months preceding a claim.

15. Indemnification

You agree to indemnify Kivarolabs, its affiliates, officers, and employees against claims or liabilities arising from:

  • Your breach of these Terms.
  • Violation of third-party rights.
  • Unauthorized or unlawful use of the platform.

16. Termination

We may suspend or terminate your account for violations, non-payment, or misuse. Upon termination, your data may be permanently deleted.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Kochi, Kerala.

18. Changes to Terms

We may revise these Terms from time to time.
The latest version will be available in the App or on our website.
Continued use constitutes acceptance of the updated Terms.
